Cavium, Inc. Announces Successful Completion of the Exchange Offer in Connection with the Proposed Acquisition of QLogic Corporation

San Jose, Calif., August 16, 2016 – Cavium, Inc. (Nasdaq: CAVM) (“Cavium”), a leading provider of semiconductor products that enable intelligent processing for enterprise, data center, cloud, wired and wireless networking, announced today that it has accepted for exchange all shares of the common stock of QLogic Corp. (Nasdaq: QLGC) (“QLogic”) validly tendered into the previously announced exchange offer by a wholly owned subsidiary of Cavium to acquire all of the outstanding shares of QLogic for the agreed consideration of $11.00 in cash and 0.098 shares of Cavium common stock for each share of QLogic.  The shares accepted represent approximately 76.2% of QLogic’s outstanding shares of common stock.  The exchange offer expired at 5:30 p.m., New York City time, on August 15, 2016.  As previously announced, Cavium will acquire the remaining outstanding shares of QLogic’s common stock through a merger of a wholly owned subsidiary of Cavium with and into QLogic, which Cavium expects to complete prior to the opening of trading on Nasdaq on Tuesday, August 16, 2016.

Cavium Showcases The CloudScale Rack™

A Fully Cavium Powered Rack for Flexible and Scalable Software Defined Data Centers
TAIPEI, Taiwan., May 30, 2016 – Cavium, Inc. (NASDAQ: CAVM), a leading provider of semiconductor products that enable intelligent processing for enterprise, data center, cloud, wired and wireless networking today showcased CloudScale Rack™ solution that demonstrates a complete cloud data center enabled using customer platforms built on Cavium's product portfolio. 

Today's data center platforms are built using legacy building blocks that evolved over time and are unable to address the growing complexity and scale of current data centers. Servers are not Workload Optimized™. They use legacy one-size-fits all processors and require NICs, HBAs and offload cards to meet the storage and virtualization needs of data centers. Fixed server configurations make it very challenging to seamlessly provision and move workloads across the data center. Legacy L3, L2 switches are designed for wiring closets and not for modern data centers. They use fixed function ASICs that limit visibility making it difficult to capture errant events, identify latency and congestion hotspots.

Modern data centers need flow based switching and ability to quickly deploy emerging protocols. These are not supported by legacy switches. Traditional data center security appliances require specialized hardware modules for secure key storage and authentication. They do not support security in a multi-tenant environment and are not suitable for securing virtual networks. Traditional custom appliances are designed with the point of view of physical network constraints and are not suitable for scale out virtualized data centers.
There arises a need for a new approach for a software defined rack solution across network, storage and compute to deliver the scalability, flexibility and efficiency to compete in the future where hyperscale is mandatory. This new approach is the scalable rack solution with a range of Workload Optimized servers for compute, storage, networking and management modules that work together to build a wide range of on-demand logical, virtual systems, which are more adoptable and scalable to emerging networking protocol and security needs of the cloud.

Cavium Announces ThunderX2™

Significantly expands market opportunity for 64-bit ARM® based servers by addressing the most demanding application and workload requirements

TAIPEI, Taiwan., May 30, 2016 – Cavium, Inc. (NASDAQ: CAVM), a leading provider of semiconductor products that enables intelligent processing for enterprise, cloud, data center, wired and wireless networking today announced ThunderX2™, the second generation of workload optimized ARM server SoCs

ThunderX2 targets high performance volume servers deployed by Public/Private Cloud and Telco data centers and high performance computing applications. It is optimized for key Data Center workloads such as compute, security, storage, data analytics, network function virtualization (NFV) and distributed databases. ThunderX2 will deliver two to three times the performance across a wide range of standard benchmarks and applications compared to ThunderX®.  It also significantly expands the market reach of the ThunderX family of processors by targeting applications that require high single thread performance such as web search, graph analytics, a variety of enterprise applications such as massively parallel processing (MPP) databases, data warehousing and enterprise HPC applications such as computational fluid dynamics (CFD) and reservoir modelling. ThunderX2 will deliver comparable performance at a better TCO compared to the next generation of traditional server processors.

ThunderX2 is the second generation workload optimized ARMv8 processor built in 14nm FinFET process. It is fully compliant with ARMv8.2 architecture as well as ARM's Server Base System Architecture (SBSA) standard.

Key ThunderX2 features will include:
  • 2nd generation of full custom Cavium ARM core.
    • Multi-Issue, Fully OOO.
    • 2.4 to 2.8GHz in normal mode, Up to 3 GHz in Turbo mode.

ThunderX2 family of processors include, FOUR workload optimized processors targeting different workloads.
  • ThunderX2_CP™:  Optimized for cloud compute workloads such as private and public clouds, web serving, web caching, web search, commercial HPC workloads such as computational fluid dynamics (CFD) and reservoir modeling. This family supports multiple 10/25/40/50/100 GbE network Interfaces and PCIe Gen3 interfaces. It also includes accelerators for virtualization and vSwitch offload.
  • ThunderX2_ST™: Optimized for big data, cloud storage, massively parallel processing (MPP) databases and Data warehousing workloads. This family supports multiple 10/25/40/50/100 GbE network interfaces, PCIe Gen3 interfaces and SATAv3 interfaces. It also includes hardware accelerators for data protection/ integrity/security, user to user efficient data movement.
  • ThunderX2_SC™:  Optimized for secure web front-end, security appliances and cloud RAN type workloads. This family supports multiple 10/25/40/50/100 GbE interfaces and PCIe Gen3 interfaces. Integrated hardware accelerators include Cavium’s industry leading, 5th generation NITROX security technology with acceleration for IPSec, RSA and SSL.
  • ThunderX2_NT™: Optimized for media servers, scale-out embedded applications and NFV type workloads. This family supports multiple 10/25/40/50/100 GbE interfaces. It also includes OCTEON style hardware accelerators for packet parsing, shaping, lookup, QoS and forwarding.
