Cavium Completes Acquisition of QLogic

San Jose, CA, August 16, 2016 – Cavium, Inc. (NASDAQ: CAVM) (“Cavium”), a leading provider of semiconductor products that enable intelligent processing for enterprise, data center, cloud, wired and wireless networking, today announced that Cavium had completed its acquisition of QLogic Corp. (NASDAQ: QLGC) (“QLogic”), a leading supplier of high performance networking infrastructure solutions.

 After the successful completion of an exchange offer for all outstanding shares of QLogic, a wholly owned subsidiary of Cavium has been merged with QLogic, with QLogic as the surviving corporation and becoming a wholly owned subsidiary of Cavium.  At the effective time of the merger, each outstanding share of QLogic common stock (other than shares directly owned by QLogic and its subsidiaries, or Cavium and its subsidiaries) was converted into the right to receive $11.00 per share in cash and 0.098 shares of Cavium common stock, without interest and less any applicable withholding taxes, which is the same price that was paid in the exchange offer. Under Section 251(h) of the General Corporation Law of the State of Delaware, no vote of QLogic’s stockholders was required to consummate the merger. QLogic shares will cease to be traded on the NASDAQ Global Select Market.

Cavium, Inc. Announces Successful Completion of the Exchange Offer in Connection with the Proposed Acquisition of QLogic Corporation

San Jose, Calif., August 16, 2016 – Cavium, Inc. (Nasdaq: CAVM) (“Cavium”), a leading provider of semiconductor products that enable intelligent processing for enterprise, data center, cloud, wired and wireless networking, announced today that it has accepted for exchange all shares of the common stock of QLogic Corp. (Nasdaq: QLGC) (“QLogic”) validly tendered into the previously announced exchange offer by a wholly owned subsidiary of Cavium to acquire all of the outstanding shares of QLogic for the agreed consideration of $11.00 in cash and 0.098 shares of Cavium common stock for each share of QLogic.  The shares accepted represent approximately 76.2% of QLogic’s outstanding shares of common stock.  The exchange offer expired at 5:30 p.m., New York City time, on August 15, 2016.  As previously announced, Cavium will acquire the remaining outstanding shares of QLogic’s common stock through a merger of a wholly owned subsidiary of Cavium with and into QLogic, which Cavium expects to complete prior to the opening of trading on Nasdaq on Tuesday, August 16, 2016.

Cavium, Inc. Announces Extension of the Expiration of the Exchange Offer in Connection with the Proposed Acquisition of QLogic Corporation

San Jose, Calif., August 10, 2016 – Cavium, Inc. (Nasdaq: CAVM) (“Cavium”), a leading provider of semiconductor products that enable intelligent processing for enterprise, data center, cloud, wired and wireless networking, today announced that the previously announced offer to exchange all of the outstanding shares of common stock of QLogic Corporation (“QLogic”) for $11.00 in cash and 0.098 shares of Cavium common stock for each share of QLogic common stock (the “Offer”) has been extended pursuant to the marketing period provided by the merger agreement entered into on June 15, 2016 among Cavium, Quasar Acquisition Corp., the offeror and a wholly owned subsidiary of Cavium, and QLogic (the “Merger Agreement”) in connection with Cavium’s debt financing for the transaction.
The Offer will now expire at 5:30 p.m., New York City time, on August 15, 2016, unless further extended in accordance with the Merger Agreement. All other terms and conditions of the Offer remain unchanged. Cavium expects the transaction to close on or about August 16, 2016, subject to the tender and non-withdrawal of a majority of the outstanding shares of QLogic common stock.  The closing of the Offer remains subject to other customary closing conditions.

The depositary for the Offer has advised Parent that, as of 12:00 midnight, New York City time, at the end of August 9, 2016, approximately 59,315,736 shares have been validly tendered and not properly withdrawn pursuant to the Offer, representing approximately 70.7% of the outstanding QLogic shares.

The terms and conditions of the Offer are described in the exchange offer documents, which have been mailed to QLogic stockholders and filed with the Securities and Exchange Commission ("SEC").

Cavium to Demonstrate Solutions for Cloud Infrastructure and Scale-Out Applications at OpenStack Summit Tokyo

SAN JOSE, Calif., Oct 27, 2015 – Cavium, Inc. (NASDAQ: CAVM), a leading provider of semiconductor products that enable intelligent processing for enterprise, data center, cloud, wired and wireless networking, will demonstrate ThunderX and LiquidIO II based solutions for private and public cloud infrastructure and scale out applications at the OpenStack Summit in Tokyo.  The OpenStack Summit is a four-day conference for developers, users, and administrators of OpenStack Cloud Software and is held from Tuesday October 27th through Thursday October 29th.

Cavium’s LiquidIO II Intelligent Server adapters fully support and seamlessly integrate OpenStack software. This functionality includes:

Cavium Introduces LiquidIO™ Family of 10 Gigabit Server Adapters to enable SDN for Cloud and Datacenters

Provides a proven, high performance and flexible platform for deploying feature rich Software Defined Networks (SDN) with support for 3rd Party applications in addition to Open vSwitch, OpenFlow, & VXLAN

SAN JOSE, Calif., May 7, 2013 -- Cavium, Inc. (NASDAQ: CAVM), a leading provider of highly integrated semiconductor products that enable intelligent processing for networking, communications and cloud infrastructure, today announced the new LiquidIO Server Adapter family. This new adapter family enables data centers to rapidly deploy high performance SDN applications for both installed and new infrastructure while clearly enhancing server utilization, response times and network agility. The LiquidIO Server Adapters are designed for deployment by cloud service providers, enterprises and private data centers worldwide.

Server virtualization technology has enabled multiple virtual machines (VM) per server providing significant benefits to enterprises worldwide.  However the complete benefits of server virtualization cannot be realized without the associated network virtualization. Software Defined Network (SDN) technology enables flexible virtualization of the network.  Enabling network virtualization requires software based switching and tunneling, to decouple physical and logical networks, which significantly taxes the server CPU and reduces performance and increases latency.  Cloud Services Providers need to tackle these issues to meet their customer commitments on performance, bandwidth and quality of service (QoS).  They need a hardware solution that offloads SDN and network processing from the main server CPU into an intelligent network adapter. Additionally, the offload protocols required by cloud service providers are evolving and differentiated. This drives the need for SDN Adapters to be fully programmable.

LiquidIO Server AdapterThis new family of adapters includes LiquidIO Server Adapter 210Sv with two 10 Gigabit Ethernet ports and the 110Sv with one 10 Gigabit Ethernet port.  This product family provides a proven, high-performance, programmable adapter platform for cloud service providers.  It is offered in a standard server compliant half-height PCI Express form-factor and is supported by a feature rich Software Development Kit (SDK). This SDK allows customers and partners to develop high performance SDN applications with packet processing, tunneling, QoS, security and metering.  The adapter family provides out-of-the-box 10 Gbps OVS, Open Flow, VXLAN and NVGRE tunneling protocol performance. 

The LiquidIO adapter family has been tested against several commonly used Controllers including Floodlight and NOX.  Customers also have the added advantage of being able to run L4-L7 networking & security services on this platform.  Several partner companies including PLUMGrid and One Convergence are leveraging this family to offer high performance network virtualization solutions to their customers.
