Cavium Announces Financial Results for Q4 2017

SAN JOSE, Calif., January 31, 2018 – Cavium, Inc. (NASDAQ: CAVM), a leading provider of semiconductor products that enable intelligent processing for enterprise, data center, cloud, wired and wireless networking, today announced financial results for the fourth quarter ended December 31, 2017. Due to the pending merger with Marvell Technology Group Ltd. (“Marvell”), the Company will not schedule an earnings conference call.

Net revenue in the fourth quarter of 2017 was $260.4 million, a 3.3% sequential increase from the $252.0 million reported in the third quarter of 2017 and 15.1% from the $226.2 million reported in the fourth quarter of 2016.

Generally Accepted Accounting Principles (GAAP) Results
Net loss for the fourth quarter of 2017 was $1.1 million, or ($0.02) per diluted share, compared to $6.2 million, or ($0.09) per diluted share in the third quarter of 2017. Gross margins were 53.9% in the fourth quarter of 2017 compared to 54.6% in the third quarter of 2017. As a percentage of revenue, GAAP loss from operations was 4.7% in the fourth quarter of 2017 compared to GAAP operating income of 0.2% in the third quarter of 2017. Total cash and cash equivalents were $140.5 million at December 31, 2017.

The GAAP results of operations in the fourth quarter of 2017 included an income tax benefit of $11.1 million as a result of the Company’s preliminary assessment of the impact of the newly enacted U.S. Tax Reform. On December 22, 2017, the United States enacted tax reform legislation through the Tax Cuts and Jobs Act (the “Act”), which significantly changes the existing U.S. tax laws. Major reforms in the legislation include a reduction in the corporate tax rate from 35.0% to 21.0%, and a move from a worldwide tax system to a territorial system. As a result of enactment of the legislation, the Company recognized a tax benefit mentioned above due to the reduction in its net long term deferred tax liabilities recorded on its consolidated balance sheet. Although the Company believes the amount of recognized tax benefit is a reasonable estimate of the income tax effects of the Act, it should be considered provisional and may differ from the amounts that will be reported in the Company’s Annual Report on Form 10-K for the year ended December 31, 2017 as the Company continuously refines its assessment of the impact. Further, the final assessment of the impact of the Act may differ due to and among other things, changes in interpretations, assumptions made by the Company, the issuance of additional guidance, and actions the Company may take as a result of tax reform. The SEC has issued rules which allow for a measurement period of up to one year after the enactment date of the Act to finalize the accounting for the related tax impacts. Any adjustments to these provisional amounts will be reported as a component of income tax expense or benefit in the reporting period in which any such adjustments are determined, which will be no later than the fourth quarter of 2018.

Non-GAAP Results
Cavium believes that the presentation of non-GAAP financial measures provides important supplemental information to management and investors regarding financial and business trends relating to Cavium’s financial condition and results of operations. Cavium believes that these non-GAAP financial measures provide additional insight into Cavium’s ongoing performance and core operational activities and has chosen to provide these measures for more consistent and meaningful comparison between periods. These measures should only be used to evaluate Cavium’s results of operations in conjunction with the corresponding GAAP measures. The Non-GAAP results exclude the effect of stock-based compensation and related payroll taxes, amortization of acquisition related assets, acquisition related inventory charges, acquisition and integration related costs, tax reform impact and acquisition related tax adjustment. The acquisition and integration related costs in the fourth quarter of 2017 included various transaction-related charges associated with the pending Merger with Marvell, primarily financial advisory and outside legal fees. The reconciliation between GAAP and non-GAAP financial results is provided in the financial statements portion of this release.

In the fourth quarter of 2017, Non-GAAP net income was $60.8 million, or $0.83 per diluted share, Non-GAAP gross margin was 65.2% and Non-GAAP income from operations as a percentage of revenue was 24.2%.

Cavium Announces Expansion of OCTEON Fusion-M® Baseband Products

Entry Level, Multi-Sector, Multi-RAT CNF73xx SoC enables Outdoor Micro Cell Basestations

SAN JOSE, CA; BARCELONA, SPAIN Feb 27, 2017 – Cavium, Inc., (NASDAQ: CAVM), a leading provider of semiconductor products that enable secure and intelligent processing for enterprise, data center, wired and wireless networking, today announced the latest addition to its OCTEON Fusion-M portfolio of wireless infrastructure processors.

Market Dynamics for Radio Access Networks
As radio networks increasingly use higher frequency bands, the demand for high output, high user count micro cells with full macro BTS capabilities at significantly lower cost of deployment has increased dramatically, not just for traditional infill use but also for providing densification in urban areas or in public host neutral applications.

Operators are seeing increased need for low cost, low power micro basestations, providing coverage in sparse deployments like small towns and rural areas in both developed and emerging economies. Unlike historical attempts at small cell offerings, the OCTEON Fusion-M microcell technology is directly derived from the larger full featured macro cell SoCs. The OCTEON Fusion-M family is fully featured and software compatible allowing excellent re-use.

The continuous and relentless increase in data traffic and the ever increasing demands for increased data rates for end users will impact how cellular networks are deployed in the future. Providing high system capacity and high per-user data rates – requirements critical for the creation of a 5G network – will require a densification of the radio access network or the deployment of additional network nodes. Increases in the number of cells will allow the traffic per square-meter to be increased resulting in a significant improvement in achievable data rates.

New Category Single Chip MicroCell: Laying the foundation of Dense HetNets, Multi-RAT and 5G standards

The OCTEON Fusion-M CNF73xx processors are single chip solutions for micro BTS, Digital DAS and Host Neutral applications, for full L1-L7 processing on a single SoC.  The CNF73xx is an entry level, scaled down version of the OCTEON Fusion CNF75xx product, delivering the lowest power per user for this class of radio cell. The key features include highly optimized full custom processor cores, a highly efficient caching subsystem, high memory bandwidth and a very flexible and high performance PHY. They also include a host of high speed I/O configurations and innovative wireless specific hardware accelerators providing high throughput system radio performance along with very high user counts.

Feature highlights:
  • Highly integrated multi-protocol single chip 4 sector 8T8R MIMO with up to 4 cores running up to 1.2 GHz core frequency
  • A range of user counts from 512 to 1,024 simultaneous active users
  • Multi-Protocol (LTE/LTE-A/LTE-U/WCDMA/GSM) (LTE Rel 12) SoC
  • Fully configurable Wireless Baseband Module based on VLIW DSP cores, comprehensive PHY hardware accelerators, custom XBAR and PHY Shared memory
  • Hardware Beam Forming
  • Integrated I/O capacity including JESD207P/JESD204B,10GE, SGMII, PCIe v3.0
The new CNF73xx family offers simultaneous multi-sector, multi-protocol support with very flexible antenna mapping. As part of its many advanced features the CNF73xx family also provides native beam-forming hardware support as well as a range of RF interfaces for external high output radios.

“Cavium has taken its successful OCTEON Fusion-M technology and retooled it at a rapidly growing market,” said Jag Bolaria, Principal Analyst of the Linley Group. “The need for densification of networks is apparent and this new offering provides operators another solution in their portfolio on the path to 5G in the future.”
“The OCTEON Fusion-M CNF73xx provides a very cost effective solution for operators to deploy both host neutral or high capacity outdoor micro BaseStations to build out their existing networks,” said Raj Singh, VP of Cavium’s Network and Communications Group.  “We continue to focus on baseband processor innovation, software integration and cost-efficient hardware platform designs in response to emerging market needs.”

Availability
The OCTEON Fusion-M CNF73xx family of processors along with a range of hardware reference platforms are sampling now to select customers.

Cavium and Argela to Deliver ProgRAN, a Fully Programmable, SDN-based RAN Solution for LTE and 5G

SAN JOSE, CA, BARCELONA, SPAIN Feb 22, 2016 – Cavium, Inc., (NASDAQ: CAVM), a leading provider of semiconductor products that enable intelligent processing for enterprise, data center, wired and wireless networking, today announced that it has expanded its partnership with Argela, a member of Turk Telekom group, to include the availability of ProgRAN on Cavium’s OCTEON Fusion-M™ and ThunderX® network infrastructure processors.  ProgRAN is a fully programmable, SDN-based RAN solution for LTE and 5G developed by Argela.

The tremendous growth in wireless Internet use is showing no signs of slowing down. The explosion in this demand is not only due to the increase in the number of connections but also due to the multimedia-rich applications, which form the majority of these connections. Existing cellular networks will be insufficient, in part due to their inflexible and expensive equipment, as well as the complex and non-agile control plane of today’s wireless networks.

Argela’s newly announced ProgRAN solution paired with Cavium’s leading OCTEON Fusion-M baseband processors and Cavium’s ThunderX, a 64-bit ARMv8 SoC for next generation Data Center and Telco Cloud Applications, is applicable for both typical BTS and Cloud RAN deployments.

Using ProgRAN, MSPs may deploy, modify or introduce different scheduling, admission control and handover management algorithms to different flows in different parts of their network and conduct such controls via a simple programming interface.

Next Generation 5G technologies will include new, higher-frequency spectrum, including millimeter wave, Massive MIMO and optimized modulation, coding, and multiple access technologies for the new spectra to satisfy the growing demand in wireless connectivity as well as associated data rates using technologies like:
  • ·Network Function Virtualization (NFV)                                                               The industry trend away from vertically integrated, inflexible and non-scalable equipment within the network towards software running on off-the-shelf ThunderX ARM servers in the cloud.
  • Software-Defined Networking (SDN)                                                                   For both the Core and Radio Access Networks, so that MSPs may develop new revenue sources via programmable control of the network.
The key differentiator for 5G systems will be the orchestration of the overall system (CN+RAN) control to realize the benefits of Telco Cloud while taking full advantage of the transport capacity over a multitude of spectra and distributed over a large geographical area.

“We have worked closely with Argela to leverage our experience in NFV/CRAN operator trials both on ThunderX and OCTEON Fusion-M to bring this very exciting product to market. As an OCTEON Fusion-M licensee, Argela has access to Cavium’s leading silicon and software technologies for NFV/CRAN implementations,” said Raj Singh, General Manager, Wireless Broadband Group, Cavium, Inc.  “We are very excited by Argela’s innovative architecture and look forward to working closely with them to enable rapid adoption of this exciting new technology.”

“Cavium’s OCTEON Fusion-M baseband CNF75XX solution coupled with its world class ThunderX 64-bit ARMv8 SoC for next generation Data Center and Telco Cloud Applications is a perfect platform for our SDN/NFV implementation,” said Dr. Oguz Sunay Chief Technology Officer, Argela. “Together we provide an excellent integrated solution that addresses the needs of the rapidly developing 5G marketplace while providing scalability, reliability and
