Cavium Collaborates with Microsoft to Demonstrate ThunderX2 Platform Compliant with Microsoft’s Project Olympus Specifications


Open Compute Project expands platform availability with Cavium’s ThunderX2® ArmV8.1 workload optimized data center server processors

SAN JOSE, CA, March 20, 2018 – Cavium™, Inc., (NASDAQ: CAVM), a leading provider of semiconductor products that enable secure and intelligent processing for enterprise, data center, wired and wireless networking, today announced a major milestone in its collaboration with Microsoft in the Open Compute Community with ThunderX2 Arm®-based servers demonstrating the Project Olympus Platform.
A live demonstration that includes web applications hosted by a Windows IIS webserver running natively on ThunderX2 based on Microsoft’s Project Olympus platform will be shown at the Open Compute Project (OCP) U.S. Summit 2018 in San Jose, CA, at the Cavium booth A37 from March 20th – 21st.  The annual Summit brings together more than 3,000 key decision makers, executives, engineers, developers and suppliers. Together, they help grow, drive and support the open hardware ecosystem in, near and around the data center and beyond.
The ThunderX2 product family is Cavium's second generation 64-bit Armv8-A server processor SoC for data center, cloud and high-performance computing applications. The family integrates fully out-of-order high-performance custom cores supporting single and dual socket configurations. ThunderX2 is optimized to drive high computational performance delivering outstanding memory bandwidth and memory capacity. The new line of ThunderX2 processors includes multiple workload optimized SKUs for both scale up and scale out applications and is fully compliant with Armv8-A architecture specifications as well as Arm's SBSA and SBBR standards. It is also widely supported by industry-leading operating system, hypervisor and software tool and application vendors.
Cavium and Microsoft originally announced their collaboration at the OCP U.S. Summit in March 2017, where the two companies demonstrated cloud service workloads developed for Microsoft’s internal use running on ThunderX2-based server platform.  This was followed in November 2017 with the additional announcement of the companies releasing the detailed specification of ThunderX2 server motherboard for Microsoft’s Project Olympus including block diagram, management sub-system, power management, FPGA card support, IO connectors, and physical specifications.

Cavium and Sprint Collaborate for NFV Testing on Packet’s Public Cloud

Sprint orchestrates Virtualized Mobile Core Network on Containers running on Cavium ThunderX2™ArmV8.1 workload optimized data center server processors in the Packet bare metal cloud
SAN JOSE, CA, and BARCELONA, SPAIN February 26, 2018 – Cavium™, Inc., a leading provider of semiconductor products that enable secure and intelligent processing for enterprise, data center, wired and wireless networking, announced a collaboration with Sprint Corporation, a national carrier in the United States, using Packet, a cloud service provider, public cloud based on Cavium ThunderX2 Arm®-based servers and virtualized mobile core network orchestrated on Containers. 
Sprint’s testing has demonstrated promising total cost of ownership (TCO) advantages over conventional architecture. A live demonstration of this testing, including a complete end-to-end containerized mobile network with live traffic on commercial UE, will be shown at Mobile World Congress 2018 in Barcelona, Spain, at both the Arm booth (Hall 6 Stand 6E30) and Cavium booth (Hall 2 Stand 2M61). 
The containerized mobile core network (cEPC) runs at Packet, a commercially available public cloud, on Cavium ThunderX2 Arm-based servers. The radio access network is a 3GPP compliant split-RAN implementation with both the vBBU (virtualized baseband unit) and the remote radio unit running on Cavium silicon (ThunderX2 and OCTEON Fusion-M® processors).

Cavium to Showcase M-CORD NFV/5G on ARM with Leaf and Spine SDN Fabric at Mobile World Congress Americas 2017

Cavium™ expands China Unicom partnership to include Edge Services

SAN JOSE and SAN FRANCISCO, CA, September 11, 2017 – Cavium, Inc. (NASDAQ: CAVM), a leading provider of semiconductor products that enable intelligent processing for enterprise, data center, wired and wireless networking today announced a fully integrated CORD (Central Office Re-architected as Data center) SDN/NFV platform software stack on its ThunderX® ARM®-based data center COTS server architecture including a full leaf and spine SDN fabric on its XPliant® programmable SDN switches. The CORD platform with seamlessly integrated SDN fabric is showcased in a multi-rack configuration running M-CORD Virtualized Mobile Infrastructure and Edge Services at MWC Americas, at the Open Network Foundation’s stand N.332 at Moscone Center Hall North from September 12-14, 2017.

This M-CORD SDN/NFV software platform scaling across multiple data center racks is fully integrated with virtualized and disaggregated mobile infrastructure elements from the edge of the Radio Access Network (RAN) to distributed mobile core, and ONOS SDN and XOS orchestration software. It enables a virtually turn-key operation in a central office or edge data center for testing out NFV, 5G and C-RAN new technology concepts like intelligent front-haul and network slicing. This is a complete Cavium powered SDN/NFV/C-RAN end to end solution combining the OCTEON Fusion-M baseband radio head processors with the ThunderX ARM-based COTS servers and the award winning programmable XPliant Ethernet leaf and spine SDN switches. In keeping with industry trends the front-haul options follow the emerging 3GPP next generation standards.

China Unicom and Cavium have been collaborating on M-CORD and C-RAN projects, utilizing this integrated platform. The addition of Edge Services and full leaf and spine support further enhances the value proposition and eases 5G deployment.

Cavium Announces Financial Results for Q1 2017

SAN JOSE, Calif., April 26, 2017 – Cavium, Inc. (NASDAQ: CAVM), a leading provider of semiconductor products that enable intelligent processing for enterprise, data center, cloud, wired and wireless networking, today announced financial results for the first quarter ended March 31, 2017.

Net revenue in the first quarter of 2017 was $229.6 million, a 1.5% sequential increase from the $226.2 million reported in the fourth quarter of 2016 and 125.3% from the $101.9 million reported in the first quarter of 2016.

Generally Accepted Accounting Principles (GAAP) Results
Net loss for the first quarter of 2017 was $50.5 million, or ($0.75) per diluted share, compared to $121.6 million, or ($1.82) per diluted share in the fourth quarter of 2016. Gross margins were 40.1% in the first quarter of 2017 compared to 43.4% in the fourth quarter of 2016. GAAP operating loss (GAAP loss from operations as a percentage of revenue) was 17.0% in the first quarter of 2017 compared to 12.9% in the fourth quarter of 2016. Non-GAAP Results
Cavium believes that the presentation of non-GAAP financial measures provides important supplemental information to management and investors regarding financial and business trends relating to Cavium’s financial condition and results of operations. Cavium believes that these non-GAAP financial measures provide additional insight into Cavium’s ongoing performance and core operational activities and has chosen to provide these measures for more consistent and meaningful comparison between periods. These measures should only be used to evaluate Cavium’s results of operations in conjunction with the corresponding GAAP measures. The reconciliation between GAAP and non-GAAP financial results is provided in the financial statements portion of this release.

In the first quarter of 2017, Non-GAAP net income was $41.7 million, or $0.58 per diluted share, Non-GAAP gross margin was 65.7% and Non-GAAP operating margin (non-GAAP income from operations as a percentage of revenue) was 22.0%.

Cavium Partners with China Unicom to Showcase M-CORD NFV/5G at Mobile World Congress 2017

ThunderX® ARM V8.1 workload optimized data center server processors and XPliant® SDN fabric for deployment solutions

SAN JOSE, CA, and BARCELONA, SPAIN February 27, 2017 – Cavium, Inc. (NASDAQ: CAVM), a leading provider of semiconductor products that enable secure and intelligent processing for enterprise, data center, wired and wireless networking today announced a full implementation of the ON.Lab CORD (Central Office Re-architected as Data center) SDN/NFV platform software stack on its ThunderX ARM based data center COTS server architecture. In addition, the leaf and spine switching integral to CORD is now supported by Cavium’s XPliant programmable SDN switch.

As part of the previously announced collaboration Cavium and China Unicom have worked closely on porting and integrating the entire M-CORD software stack to a single unified hardware architecture optimized for NFV operation and SDN control. The Cavium M-CORD rack is a fully integrated system implementing the full set of features from the edge of the Radio Access Network (RAN) to the ONOS and XOS SDN and orchestration software. It allows for a virtually turn-key operation in any central office for a full NFV C-RAN deployment.  The combination of the ThunderX ARM based data center server processor with the award winning highly programmable XPliant switch provide a compelling platform for M-CORD.

China Unicom and Cavium will work together to trial the system in live locations to optimize the vBBU performance and core network provisioning.

Cavium to Contribute the First Programmable Wedge 100C Switch Design to OCP

Cavium’s Programmable Switch Enables Innovative OCP Open Data Center Solutions
SAN JOSE, CA – January 24, 2017 – Cavium, Inc. (NASDAQ: CAVM) a leading provider of semiconductor products that provides intelligent processing for enterprise, data center, cloud, wired and wireless networking, today announced that it will contribute its Wedge 100C switch hardware design, based on the production ready, field deployed, XPliant® Programmable ASIC, to the Open Compute Project (OCP) Foundation.

The programmable Wedge 100C is an open switch platform, focused on Top of Rack deployments with 10G/25G/40G/50G/100G server connectivity and 100GbE uplinks to the aggregation layer of the network. The programmable Wedge 100C design uses Cavium XPliant CNX88091, programmable production-ready Ethernet switch and is based on the original OCP-ACCEPTED™ Wedge 100 switch specification and designs which were contributed by Facebook in October 2016.

The contributed network switch can be managed by a variety of Network Operation Systems (NOS), including the Facebook OpenSwitching System ("FBOSS") software stack.

Cavium’s XPliant Family of Ethernet Switches uniquely address the needs of today’s highly dynamic datacenter networks by enabling developers to continuously evolve and improve data center network operations. The world’s first programmable Wedge 100C open switch platform will allow developers to continuously introduce new protocols, adapt networks to new server technologies like containers, and improve network visibility without requiring the deployment of new network switching systems. These attributes extend the life cycle of the Wedge 100C switch, and deliver on the OCP vision of providing high ROI on the datacenter operator’s switching infrastructure investment.

Cavium, Inc. Announces Extension of the Expiration of the Exchange Offer in Connection with the Proposed Acquisition of QLogic Corporation

San Jose, Calif., August 10, 2016 – Cavium, Inc. (Nasdaq: CAVM) (“Cavium”), a leading provider of semiconductor products that enable intelligent processing for enterprise, data center, cloud, wired and wireless networking, today announced that the previously announced offer to exchange all of the outstanding shares of common stock of QLogic Corporation (“QLogic”) for $11.00 in cash and 0.098 shares of Cavium common stock for each share of QLogic common stock (the “Offer”) has been extended pursuant to the marketing period provided by the merger agreement entered into on June 15, 2016 among Cavium, Quasar Acquisition Corp., the offeror and a wholly owned subsidiary of Cavium, and QLogic (the “Merger Agreement”) in connection with Cavium’s debt financing for the transaction.
The Offer will now expire at 5:30 p.m., New York City time, on August 15, 2016, unless further extended in accordance with the Merger Agreement. All other terms and conditions of the Offer remain unchanged. Cavium expects the transaction to close on or about August 16, 2016, subject to the tender and non-withdrawal of a majority of the outstanding shares of QLogic common stock.  The closing of the Offer remains subject to other customary closing conditions.

The depositary for the Offer has advised Parent that, as of 12:00 midnight, New York City time, at the end of August 9, 2016, approximately 59,315,736 shares have been validly tendered and not properly withdrawn pursuant to the Offer, representing approximately 70.7% of the outstanding QLogic shares.

The terms and conditions of the Offer are described in the exchange offer documents, which have been mailed to QLogic stockholders and filed with the Securities and Exchange Commission ("SEC").
