Cavium to Demonstrate Leading Datacenter, HPC and Next-generation Cloud Infrastructure Solutions at Red Hat Summit 2017

SAN JOSE, CA – May 2, 2017 – Cavium, Inc. (NASDAQ: CAVM), a leading provider of semiconductor products that enable secure and intelligent processing for enterprise, datacenter, cloud, wired and wireless networking, will demonstrate leading datacenter, HPC and next-generation cloud infrastructure solutions with ThunderX® running on Red Hat operating systems and applications at Red Hat Summit 2017. The conference will be hosted at the Boston Convention and Exhibition Center from May 2nd - 4th.

Red Hat Summit is the premier open source technology event to showcase the latest and greatest in cloud computing, platform, virtualization, middleware, storage, and systems management technologies.

Cavium Partners with China Unicom to Showcase M-CORD NFV/5G at Mobile World Congress 2017

ThunderX® ARM V8.1 workload optimized data center server processors and XPliant® SDN fabric for deployment solutions

SAN JOSE, CA, and BARCELONA, SPAIN February 27, 2017 – Cavium, Inc. (NASDAQ: CAVM), a leading provider of semiconductor products that enable secure and intelligent processing for enterprise, data center, wired and wireless networking today announced a full implementation of the ON.Lab CORD (Central Office Re-architected as Data center) SDN/NFV platform software stack on its ThunderX ARM based data center COTS server architecture. In addition, the leaf and spine switching integral to CORD is now supported by Cavium’s XPliant programmable SDN switch.

As part of the previously announced collaboration Cavium and China Unicom have worked closely on porting and integrating the entire M-CORD software stack to a single unified hardware architecture optimized for NFV operation and SDN control. The Cavium M-CORD rack is a fully integrated system implementing the full set of features from the edge of the Radio Access Network (RAN) to the ONOS and XOS SDN and orchestration software. It allows for a virtually turn-key operation in any central office for a full NFV C-RAN deployment.  The combination of the ThunderX ARM based data center server processor with the award winning highly programmable XPliant switch provide a compelling platform for M-CORD.

China Unicom and Cavium will work together to trial the system in live locations to optimize the vBBU performance and core network provisioning.

Cavium to Demonstrate Newest Infrastructure Security Solutions at RSA 2017

SAN JOSE, CA – February 13, 2017 – Cavium, Inc. Cavium Announces Financial Results for Q4 2016

SAN JOSE, Calif., February 1, 2017 – Cavium, Inc. (NASDAQ: CAVM), a leading provider of semiconductor products that enable intelligent processing for enterprise, data center, cloud, wired and wireless networking, today announced financial results for the fourth quarter ended December 31, 2016.

Net revenue in the fourth quarter of 2016 was $226.2 million, a 34.5% sequential increase from the $168.1 million reported in the third quarter of 2016 and 124.0% from the $100.9 million reported in the fourth quarter of 2015.

Generally Accepted Accounting Principles (GAAP) Results
Net loss for the fourth quarter of 2016 was $121.6 million, or ($1.82) per diluted share, compared to $14.4 million, or ($0.23) per diluted share in the third quarter of 2016. Gross margins were 43.4% in the fourth quarter of 2016 compared to 28.2% in the third quarter of 2016. GAAP operating loss (GAAP loss from operations as a percentage of revenue) was 12.9% in the fourth quarter of 2016 compared to 56.1% in the third quarter of 2016. Total cash and cash equivalents were $221.4 million at December 31, 2016.

Non-GAAP ResultsCavium believes that the presentation of non-GAAP financial measures provides important supplemental information to management and investors regarding financial and business trends relating to Cavium’s financial condition and results of operations. Cavium believes that these non-GAAP financial measures provide additional insight into Cavium’s ongoing performance and core operational activities and has chosen to provide these measures for more consistent and meaningful comparison between periods. These measures should only be used to evaluate Cavium’s results of operations in conjunction with the corresponding GAAP measures. The reconciliation between GAAP and non-GAAP financial results is provided in the financial statements portion of this release.

In the fourth quarter of 2016, Non-GAAP net income was $39.8 million, or $0.56 per diluted share. Non-GAAP gross margin was 65.0% and Non-GAAP operating margin (non-GAAP income from operations as a percentage of revenue) was 21.6%.

Cavium, Inc. Announces Extension of the Expiration of the Exchange Offer in Connection with the Proposed Acquisition of QLogic Corporation

San Jose, Calif., August 10, 2016 – Cavium, Inc. (Nasdaq: CAVM) (“Cavium”), a leading provider of semiconductor products that enable intelligent processing for enterprise, data center, cloud, wired and wireless networking, today announced that the previously announced offer to exchange all of the outstanding shares of common stock of QLogic Corporation (“QLogic”) for $11.00 in cash and 0.098 shares of Cavium common stock for each share of QLogic common stock (the “Offer”) has been extended pursuant to the marketing period provided by the merger agreement entered into on June 15, 2016 among Cavium, Quasar Acquisition Corp., the offeror and a wholly owned subsidiary of Cavium, and QLogic (the “Merger Agreement”) in connection with Cavium’s debt financing for the transaction.
The Offer will now expire at 5:30 p.m., New York City time, on August 15, 2016, unless further extended in accordance with the Merger Agreement. All other terms and conditions of the Offer remain unchanged. Cavium expects the transaction to close on or about August 16, 2016, subject to the tender and non-withdrawal of a majority of the outstanding shares of QLogic common stock.  The closing of the Offer remains subject to other customary closing conditions.

The depositary for the Offer has advised Parent that, as of 12:00 midnight, New York City time, at the end of August 9, 2016, approximately 59,315,736 shares have been validly tendered and not properly withdrawn pursuant to the Offer, representing approximately 70.7% of the outstanding QLogic shares.

Cavium, Inc. Announces Expiration of HSR Waiting Period for Proposed Acquisition of QLogic Corporation

San Jose, Calif., August 2, 2016 – Cavium, Inc. (Nasdaq: CAVM) ("Cavium"), a leading provider of semiconductor products that enable intelligent processing for enterprise, data center, cloud, wired and wireless networking, today announced the expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the "HSR Act") in connection with its proposed acquisition of QLogic Corporation (“QLogic”) occurred at 11:59 p.m. EST on July 29, 2016.

As previously announced, Cavium has entered into a merger agreement under which Cavium will acquire QLogic for $11.00 in cash and 0.098 shares of Cavium common stock for each share of QLogic common stock, through an exchange offer (the “Offer”) followed by a merger of a wholly owned subsidiary of Cavium with and into QLogic.  The expiration of the HSR Act waiting period satisfies one of the conditions required to consummate the Offer.  The closing of the Offer remains subject to other customary conditions, including the tender of a majority of the outstanding shares of QLogic common stock.

We are seeing strong demand for these ARM-based platforms – especially from cloud service providers."

A comprehensive ecosystem is key to the development of a market for ARM-based servers. To this end, we have been working with stakeholders across the value chain. GIGABYTE’s release partners contributed their views on co-operation and the market in general:

ARM:

We are very pleased that as a result of our joint efforts we currently have Red Hat Enterprise Linux Server for ARM Development Preview running on GIGABYTE systems in lab and development environments."

Innodisk:

Cavium and GIGABYTE have demonstrated strong leadership in the ARM server market, and SUSE will work continue to closely with them.” 

QLogic:
“The advent of data center-class ARM processors provide end users options to tailor hardware to suit specific workloads,” said Greg Scherer, vice president and CTO, QLogic. “The new ThunderX-based servers push the envelope of compute and drive the need for higher speed I/O.”
